Investing.com -- Shares in Big Yellow Group jumped more than 5% on Wednesday after U.S. activist investor Ancora said it had built a stake of more than 4% in the British self-storage company and urged it to launch a sale process.

Cleveland-based Ancora Holdings Group said Big Yellow is "materially undervalued" in the public market because of slow UK economic growth, a weak housing market, the failed take-private bid in 2025 and a property development pipeline that needs a lot of capital but has high potential.

Ancora urged Big Yellow’s board to launch a comprehensive strategic review, including a sale process, and to seek interest from strategic and financial buyers globally.

It said a sale would give shareholders the best outcome once risk is taken into account, and that it plans to engage constructively with the board.

Ancora said Big Yellow’s shares trade at a discount of almost 40% to net asset value, a measure of what the company’s assets are worth, and that it sees upside of at least 54%. It said the shares are at a five-year low.

The shares trade at 14.6 times forward EBITDA, a measure of operating profit, against a historical average of 21.1 times, Ancora said. It described this as the cheapest valuation in the company’s 26-year history as a listed company and an approximately 31% discount.

Ancora estimated Big Yellow’s intrinsic value at £12.36 per share, based on a 5.1% capitalization rate. It said its due diligence suggests buyer appetite remains strong despite Blackstone’s failed take-private bid in 2025, and that a full sale process would likely produce a deal at a "compelling valuation."

Ancora said Big Yellow’s portfolio is 99% freehold and concentrated in prime London, which it called a "competitive moat" that lets the company charge industry-leading rents. It estimated that 70% to 75% of Big Yellow’s EBITDA comes from London stores.

Ancora also said Big Yellow could sell non-core assets, rebrand or sell its smaller Armadillo brand, turn its property development pipeline into cash and buy back its own shares.

It said these steps, together with a likely recovery in occupancy and a possible improvement in the UK and London economy, could cause the shares to rise materially from their lows.

James Chadwick, president of Ancora Alternatives, first presented the position on Tuesday at the 17th Annual Sohn San Francisco Investment Conference.

The company said in October last year it had held meetings with a small number of parties in relation to a range of potential options including a potential sale of the company.

That followed a statement by private equity firm Blackstone Inc that it was considering a take-private. Blackstone dropped the plan in December. Goldman Sachs Group Inc was advising Big Yellow at the time.

Surrey-based Big Yellow is Britain’s largest self-storage company, with locations in London and the Southeast. In May, it reported annual revenue of £209.1 million for 2026, up 2% from the prior year and the highest in five years.
